Residual Risk Language Directors Can Minute

How to phrase residual risk so the minute book records judgment without inviting vague comfort statements.

Residual risk language fails when it comforts without describing judgment. “Risks are adequately managed” tells a minute reader almost nothing. Prefer sentences that state what remains after the control response, who owns the next step, and by when the board expects an update.

Example shape: “After management’s cut-off procedures, residual risk remains on late supplier confirmations for Entity B; the controller owns follow-up before the next committee, with escalation to the chair if confirmations are outstanding at that date.”
